Terms of Service

1. Acceptance of Terms

By accessing or using the ERPDrive website (erpdrive.in) or the ERPDrive cloud ERP platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you (or the company you represent) and ERPDrive Technologies ("ERPDrive", "we", "us", or "our").

If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

ERPDrive is a cloud-based manufacturing ERP (Enterprise Resource Planning) platform designed for Indian manufacturers. The Service includes modules for production planning, bill of materials management, inventory management, quality control, purchase management, sales and CRM, GST invoicing, job work tracking, and reporting and analytics.

The Service is provided as a Software-as-a-Service (SaaS) product, accessible through web browsers and mobile devices via an internet connection. ERPDrive may update, modify, or enhance the Service from time to time without prior notice.

3. User Accounts

To access the ERPDrive platform, you must create a user account. When creating an account, you agree to:

• Provide accurate, current, and complete information during registration
• Keep your login credentials confidential and secure
• Notify us immediately of any unauthorized access to or use of your account
• Be responsible for all activities that occur under your account
• Not share your account credentials with unauthorized individuals

ERPDrive reserves the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period, after providing reasonable notice.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

• Use the Service for any illegal, fraudulent, or unauthorized purpose
• Attempt to gain unauthorized access to any part of the Service, other users' accounts, or our systems and networks
• Upload or transmit any malware, viruses, or harmful code
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to transmit unsolicited or unauthorized marketing material (spam)
• Scrape, mine, or collect data from the Service using automated tools without our written consent
• Resell, sublicense, or redistribute the Service without our written authorization

5. Payment Terms

ERPDrive operates on a subscription-based pricing model. By subscribing to the Service, you agree to the following payment terms:

• Billing Cycle: Subscriptions are billed monthly or annually, depending on the plan selected at the time of purchase
• Auto-Renewal: Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. You will be notified before renewal
• Payment Methods: We accept payments via credit/debit cards, UPI, net banking, and other payment methods as displayed during checkout
• Refund Policy: If you are not satisfied with the Service, you may request a full refund within 7 days of your initial subscription purchase. Refund requests after the 7-day period will be evaluated on a case-by-case basis. Refunds are not available for partial months or for renewals where no cancellation request was submitted before the billing date
• Price Changes: ERPDrive reserves the right to change subscription prices. Existing subscribers will be notified at least 30 days before any price increase takes effect
• Taxes: All prices are exclusive of applicable taxes (including GST). Taxes will be added to your invoice as required by Indian tax law

6. Intellectual Property

The ERPDrive platform, including its software, design, logos, trademarks, documentation, and all related intellectual property, is owned by ERPDrive Technologies and is protected by applicable intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable license to access and use the Service during your subscription period. This license does not grant you any ownership rights to the Service or its underlying technology.

You may not copy, modify, distribute, sell, or create derivative works based on the ERPDrive platform or any part thereof without our prior written consent.

7. Data Ownership

All data entered, uploaded, or generated by you through your use of the ERPDrive platform ("Your Data") belongs to you. ERPDrive claims no ownership over Your Data.

We will not sell, share, rent, or distribute Your Data to any third party. We access Your Data only to the extent necessary to provide the Service, troubleshoot issues at your request, or comply with legal obligations.

You grant ERPDrive a limited license to host, store, process, and display Your Data solely for the purpose of providing and improving the Service. This license ends when you delete Your Data or terminate your account.

You are responsible for maintaining backups of Your Data. While we implement robust backup systems, we recommend that you periodically export your data for your own records.

8. Service Availability

ERPDrive strives to maintain a 99.9% uptime SLA (Service Level Agreement) for the platform. This means we aim to keep the Service available and operational for at least 99.9% of each calendar month.

Planned maintenance windows will be communicated to users at least 48 hours in advance, and are typically scheduled during non-business hours (Indian Standard Time) to minimize disruption.

The uptime SLA excludes downtime caused by:

• Force majeure events (natural disasters, war, government actions)
• Third-party service failures beyond our control (cloud infrastructure providers, internet service providers)
• Scheduled maintenance with advance notice
• Actions or inactions of the user (including misconfiguration)

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• ERPDrive shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of or inability to use the Service
• ERPDrive's total cumulative liability to you for any and all claims related to the Service shall not exceed the total amount you paid to ERPDrive in the twelve (12) months immediately preceding the event giving rise to the claim
• The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages. In such cases, our liability shall be limited to the fullest extent permitted by law.

10. Termination

Either party may terminate this agreement as follows:

• By You: You may cancel your subscription at any time by contacting us at hello@erpdrive.in or through your account settings. Cancellation will take effect at the end of your current billing cycle. You will retain access to the Service until the end of the paid period
• By ERPDrive: We may terminate or suspend your account with 30 days written notice if we discontinue the Service, or immediately if you materially breach these Terms (including non-payment of fees)

Data Export: Upon termination, you will have a 30-day grace period to export all Your Data from the platform. ERPDrive will provide reasonable assistance with data export upon request. After the 30-day grace period, we reserve the right to delete Your Data from our servers.

Termination of this agreement does not release either party from obligations accrued prior to the effective date of termination, including payment obligations.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Any disputes arising from or related to these Terms or the use of the Service shall be subject to the exclusive jurisdiction of the courts located in Bangalore, Karnataka, India.

Before initiating any legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days.

12. Changes to Terms

ERPDrive reserves the right to update or modify these Terms at any time. When we make changes, we will:

• Update the "Last updated" date at the top of this page
• Notify active subscribers via email for material changes
• Post a prominent notice on our website for significant updates

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the updated Terms. If you do not agree with the revised Terms, you should discontinue your use of the Service and cancel your subscription.
